Terms of Service

1. Acceptance of Terms

By accessing or using the Clinvo Health platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users including healthcare providers ("Doctors"), patients ("Patients"), clinic administrators ("Admins"), and visitors. We may update these Terms from time to time. We will notify registered users of material changes via email. Continued use after changes constitutes acceptance. The Service is intended for users in India and is governed by Indian law. If you access the Service from outside India, you are responsible for compliance with your local laws.

2. Account Registration

**Doctor Accounts:** Healthcare providers must provide valid medical registration details (MCI/NMC/State Medical Council registration number). We verify credentials before granting full access. Misrepresentation of medical credentials is a criminal offense under the Indian Medical Council Act. **Patient Accounts:** Patients must provide accurate personal information. Parents or legal guardians may create accounts for minors under 18 years of age. **Account Security:** You are responsible for maintaining the confidentiality of your account credentials. Enable multi-factor authentication when available. Notify us immediately of any unauthorized access. **One Account Per Person:** Each individual may maintain only one account. Sharing accounts is prohibited, especially for doctor accounts, as this would compromise medical record integrity.

3. Acceptable Use

You agree to use the Service only for its intended purpose of healthcare delivery and management. You must not: - Use the Service for any unlawful purpose or in violation of any applicable law. - Attempt to access other users' accounts or data without authorization. - Upload malicious code, viruses, or harmful content. - Scrape, crawl, or automated extraction of data from the platform. - Use the Service to send spam, unsolicited messages, or marketing communications. - Interfere with the Service's security features, infrastructure, or other users' experience. - Misrepresent your identity, credentials, or qualifications. - Share patient data outside the platform without proper consent. Violation of these terms may result in immediate account suspension or termination.

4. Healthcare Provider Terms

**Scope of Practice:** Doctors must only provide services within their scope of practice as defined by their medical registration. The platform does not extend or modify your scope of practice. **Clinical Responsibility:** All clinical decisions remain the sole responsibility of the treating physician. AI-generated notes, suggestions, and alerts are decision-support tools, not medical advice. You must review and approve all AI-generated content before saving. **Medical Records:** You are responsible for maintaining accurate and complete medical records in accordance with Medical Council of India guidelines. Records must be retained for the legally mandated period. **ABDM Obligations:** If you use ABDM features (HIP/HIU), you must comply with all ABDM policies and handle patient consent appropriately. **Prescription Compliance:** E-prescriptions must comply with applicable pharmacy and drug regulations. You are responsible for verifying drug interactions and contraindications.

5. Subscription & Billing

**Free Trial:** New clinics receive a 30-day free trial with full access to the selected plan's features. No credit card is required during the trial period. **Paid Plans:** After the trial period, continued access requires an active paid subscription. Subscriptions are available in monthly or yearly billing cycles. All prices are in Indian Rupees (INR) and inclusive of applicable taxes. **Payment Processing:** Payments are processed securely by Razorpay. We do not store your card numbers, bank account details, or UPI credentials. By subscribing, you agree to Razorpay's terms of service. **Auto-Renewal:** Subscriptions automatically renew at the end of each billing cycle (monthly or yearly) at the then-current rate. You will be charged on the same day each cycle. **Price Changes:** We will provide at least 30 days advance notice before increasing subscription prices. Existing subscribers continue at their current price until the next renewal after the notice period. New pricing applies to new subscriptions immediately.

6. Cancellation & Refunds

**Cancellation:** You may cancel your subscription at any time from Settings > Billing in the practice portal. Cancellation takes effect at the end of the current billing cycle. You retain full access until the period ends. **Refunds:** Full refunds are available within 7 days of any charge, no questions asked. To request a refund, contact us at support@clinvo.in or cancel from your billing settings. Refunds are processed via your original payment method within 5-7 business days. After 7 days from a charge, no refunds will be issued for that billing cycle. **Grace Period:** If your trial expires without a subscription or if a payment fails, you will have a 7-day grace period with read-only access. During this period, you can view all your data but cannot create new consultations, patients, or invoices. After the grace period, your account will be locked until payment is made. **Data Retention:** Your data is retained for 90 days after your account is locked. After 90 days, your data may be permanently deleted. We recommend exporting your data before cancellation.

7. Promotional Codes & Coupons

**Usage:** Promotional codes ("coupons") may be offered for discounts, free trial extensions, or complimentary access. Each coupon is subject to specific terms communicated at the time of issuance. **Restrictions:** Coupons are non-transferable between clinics and cannot be combined with other offers unless explicitly stated. Each clinic may redeem a specific coupon only once. Coupons may be restricted to specific plans or billing intervals. **Revocation:** Clinvo reserves the right to revoke coupon codes that are obtained through unauthorized means or are being misused. For free-access coupons, we will provide 30 days notice before revoking access, allowing you to transition to a paid plan. **No Cash Value:** Coupons have no cash value and cannot be exchanged for monetary compensation.

8. Patient Terms

**Accurate Information:** You must provide accurate personal and health information. Inaccurate information may affect the quality of care you receive. **Not Emergency Service:** The platform is not designed for medical emergencies. In case of emergency, contact emergency services (112) or visit the nearest hospital immediately. **Consent:** By using the platform, you consent to your healthcare provider accessing and updating your health records on the platform. ABDM data sharing requires separate, explicit consent through the Consent Manager. **Telemedicine:** Video consultations are subject to the Telemedicine Practice Guidelines 2020. Some conditions may require in-person examination; your doctor will advise accordingly. **Medication Compliance:** Medication reminders are a convenience feature, not medical advice. Always follow your doctor's instructions regarding medications.

9. Intellectual Property

**Our IP:** The Service, including its design, code, algorithms, AI models, and branding, is the intellectual property of Clinvo Health Pvt. Ltd. You may not copy, modify, distribute, or reverse-engineer any part of the Service. **Your Content:** You retain ownership of content you create on the platform (clinical notes, messages, etc.). By using the Service, you grant us a limited license to process, store, and display this content as necessary to provide the Service. **Medical Records:** Patient medical records belong to the patient. Healthcare providers have a duty to maintain records and provide copies as required by law. **Feedback:** If you provide feedback or suggestions, we may use them without obligation to compensate you.

10. Payment & Billing

**Patient Portal:** The patient portal is free and will remain free. **Practice Plans:** Paid practice plans are billed monthly or annually as selected. Prices are listed in Indian Rupees (INR) and are exclusive of GST (18%). **Payment Processing:** Payments are processed through Razorpay. We do not store your complete payment card details. **Refunds:** Monthly subscriptions can be cancelled anytime; no refund for the current billing period. Annual subscriptions are refundable on a pro-rata basis within the first 30 days. **Price Changes:** We may change prices with 30 days' notice. Existing subscribers on annual plans are protected until their renewal date. **GST:** All prices are exclusive of GST. A valid GSTIN is required for GST input credit. GST invoices are generated automatically.

11. Limitation of Liability

**No Medical Advice:** The platform provides tools for healthcare delivery, not medical advice. We are not responsible for clinical decisions made by healthcare providers using the platform. **AI Limitations:** AI features (voice-to-SOAP, drug interactions, smart briefs) are decision-support tools with inherent limitations. They may produce inaccurate results. Doctors must always review and verify AI-generated content. **Service Availability:** While we target 99.5% uptime, we do not guarantee uninterrupted service. We are not liable for damages caused by service interruptions. **Data Loss:** While we maintain robust backups and security, we are not liable for data loss caused by factors beyond our reasonable control. **Maximum Liability:** Our total liability for any claim related to the Service shall not exceed the total fees paid by you in the 12 months preceding the claim. **Force Majeure:** We are not liable for failures caused by circumstances beyond our control, including natural disasters, internet outages, government actions, or pandemics.

12. Termination

**By You:** You may terminate your account at any time through account settings or by contacting support. Upon termination: - Patient accounts: Data is retained for 30 days for recovery, then deleted per our retention policy. - Doctor accounts: Medical records are retained as legally required. Access is revoked. **By Us:** We may suspend or terminate accounts that violate these Terms, with notice where possible. In cases of serious violation (credential fraud, data breach, illegal activity), we may terminate immediately. **Data Export:** Before termination, you may export your data through the platform's export feature. **Survival:** Sections relating to intellectual property, limitation of liability, and governing law survive termination.

13. Governing Law & Disputes

These Terms are governed by the laws of India. **Dispute Resolution:** Any dispute arising from these Terms shall first be attempted to be resolved through mediation. If mediation fails, disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra, India. **Severability:** If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect. **Entire Agreement:** These Terms, together with the Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and Clinvo Health. **Contact:** Clinvo Health Pvt.
